$99 SIGN-UP OFFER · TERMS OF SERVICE
By checking the box below and submitting this sign-up form, you (the "Client")
acknowledge that you have read, understood, and agree to the following terms
governing your subscription to FxMedSupport. These terms are an election under
and modification to Section 5(b) (Annual Commitment Option) of the
FxMedSupport Master Subscription Agreement ("MSA").
1. The $99 Sign-Up Fee
In lieu of paying the standard onboarding fee for your selected subscription tier,
you authorize FxMedSupport to charge a one-time, non-refundable sign-up fee
of ninety-nine U.S. dollars ($99.00 USD) to the payment method you have placed
on file. The purpose of this charge is to initiate onboarding, verify your payment
method, and create your account. The standard onboarding fee for each tier is
waived for the duration of this offer, subject to the commitment and termination
terms below.

This $99 Sign-Up Offer does not apply to the Enterprise tier, which is negotiated separately.
2. 12-Month Commitment
You commit to twelve (12) consecutive monthly subscription charges at the applicable
tier rate, beginning with your first monthly billing cycle after sign-up.
Current monthly rates are:

You may upgrade or downgrade between tiers during your 12-month commitment period;
tier changes do not reset the 12-month clock. Upon completion of all twelve (12)
consecutive monthly payments, the waived onboarding fee is permanently forgiven
and is never owed.
3. 30-Day Grace Period
Within thirty (30) days of your sign-up date, you may cancel your subscription
for any reason with:
- No early termination fee;
- No monthly subscription charges incurred after the cancellation effective date;
- No further financial obligation to FxMedSupport beyond the $99 sign-up fee.
The $99 sign-up fee is non-refundable and is retained whether or not you continue
past the grace period. Cancellation during the grace period is submitted in the
manner set forth in MSA Section 10(b).
4. Early Termination Fee (After the Grace Period)
If you cancel your subscription after the 30-day grace period but before completing
all twelve (12) monthly payments, you agree to pay an early termination fee equal
to fifty percent (50%) of the standard onboarding fee for your subscription tier:

The early termination fee will be charged to the payment method on file in addition
to any monthly subscription charges incurred through the cancellation effective date
under MSA Section 10(b). This fee compensates FxMedSupport for the onboarding,
integration, and setup work performed at the start of your subscription.
5. Authorization to Charge
You authorize FxMedSupport to charge the following amounts to the payment method
you have placed on file:
- $99.00 today, upon submission of this sign-up form;

The applicable monthly subscription fee for your selected tier, on a recurring
monthly basis, beginning at the end of your first billing cycle;

The early termination fee set forth in Section 4 above, only if applicable;

Any usage overages, resource fees, or add-on charges as set forth in the MSA
and on FxMedSupport's pricing page.
6. Incorporation of the Master Subscription Agreement and BAA
This $99 Sign-Up Offer is an election under and modification to Section 5(b)
(Annual Commitment Option) of the Master Subscription Agreement.
The full text of the MSA — including, without limitation, provisions governing
services, intellectual property, confidentiality, limitation of liability,
governing law, binding arbitration (JAMS, San Francisco), and the 90-day payment
dispute window — is incorporated by reference and available at:

The Business Associate Agreement (BAA), attached to the MSA as Exhibit A and
governing the handling of Protected Health Information under HIPAA, is also
incorporated by reference and available at:

All provisions of the MSA and BAA not expressly modified by these terms remain
in full force and effect.
7. Your Acknowledgments
By checking the box below and submitting this form, you confirm that:
- You have read and understood these $99 Sign-Up Offer Terms in full;

You have read, or have been given a fair opportunity to read, the full Master
Subscription Agreement and Business Associate Agreement;

You have the legal authority to bind the practice or organization identified
in this sign-up form to these terms;

You authorize FxMedSupport to charge the amounts described in Section 5 above
to the payment method you have placed on file;

You understand that this is a binding legal agreement and that an early
termination fee will apply if you cancel after the 30-day grace period but
before completing 12 monthly payments.
