FXMedSupport Terms of Service (SaaS Agreement)
Welcome to FXMedSupport (“FXMedSupport,” “we,” “our,” or “us”). FXMedSupport provides software-as-a-service (SaaS) solutions, technology integrations, and operational support services for healthcare practices. By signing up, creating an account, completing the application form, or using any FXMedSupport service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service.
FXMedSupport is a software-as-a-service (SaaS) company. Our services include cloud-based tools, workflow automation, integrations, and technical support systems used in conjunction with the Cerbo EHR and other connected applications. By enrolling in any FXMedSupport plan, you acknowledge and agree that you are purchasing access to a subscription-based software platform, not a physical product. Our integrations, modules, and support systems require substantial, immediate labor and cloud-architecture configuration performed by our development team, and you understand and agree that membership fees, integration fees, and other service charges are payments for access to the platform and the labor involved in establishing and maintaining that access.
By submitting the FXMedSupport sign-up form, you affirm that you have full legal authority to enter into this agreement on behalf of yourself and/or the organization you represent. You affirm that you have the financial authority to approve and fulfill all required financial obligations associated with FXMedSupport services and integrations. You affirm that you authorize FXMedSupport to begin integration, development, configuration, and system-architecture work, including but not limited to integrating FXMedSupport into the Cerbo EHR system, setting up required cloud applications, configuring automation systems, and establishing client-specific infrastructure. You also affirm that you have conducted your due diligence and have had the full opportunity to request demos, ask questions, and understand the scope of FXMedSupport services prior to enrollment.
The initial integration fee becomes 100% non-refundable 24 hours after sign-up. Once the 24-hour period has passed, no refunds, prorations, or chargebacks will be issued for any reason. Work on your application architecture, cloud configurations, automations, and EHR integrations begins after the 24-hour window, incurring real technical cost. FXMedSupport encourages you to request as many demos or consultations as needed prior to enrollment to ensure full understanding of the service.
Most memberships are billed monthly. Memberships auto-renew every 30 days unless properly cancelled, and members must be in good financial standing for auto-renewal to continue. Members may choose prepaid memberships (annual, 6-month, or 3-month). At the end of the prepaid term, the membership converts to a 30-day auto-renewing membership unless cancelled. Some memberships may be part of program initiatives, which may include complimentary or prepaid cycles; these do not auto-renew unless specified. The membership cycle begins on the date of enrollment and auto-renews every 30 days. Memberships do not automatically cancel due to inactivity; written cancellation is required.
Cancellations must be submitted in writing via a ticket. Cancellation requests must be submitted at least 30 days before the next billing date. No refunds are provided for unused time, and FXMedSupport does not prorate remaining membership value. Members who cancel within the first 30 days are not eligible for any refund, including the integration fee. If FXMedSupport cancels a membership due to behavior, error, or other qualifying reason, refunds may be issued to the original payment method when required. If the original payment method is unavailable, refunds may be issued via check.
Members must report any billing discrepancies within 60 days of the charge appearing. After 60 days, the right to dispute the charge is waived.
You receive a non-exclusive, non-transferable, revocable license to access and use the FXMedSupport platform. You may not reverse-engineer or copy FXMedSupport systems, share logins, provide unauthorized third-party access, use the platform for unlawful purposes, or interfere with system performance or security. FXMedSupport may update, modify, or enhance the platform at any time, including adding or removing features. FXMedSupport maintains industry-standard security for all data and integrations; clients are responsible for ensuring their own internal systems and devices follow security best practices.
To the maximum extent permitted by law, FXMedSupport is not liable for indirect, incidental, punitive, or consequential damages. FXMedSupport’s total liability will not exceed the amount paid in the prior 12 months of membership. FXMedSupport does not provide medical advice, clinical decision-making, or healthcare services. We provide a SaaS platform and technology integrations only. We aim for maximum uptime, but outages may occur due to hosting providers, EHR partners, or third-party platforms. FXMedSupport is not responsible for downtime caused by external services.
All software, integrations, modules, systems, documentation, and branding remain the exclusive property of FXMedSupport. These Terms are governed by the laws of the jurisdiction in which FXMedSupport operates.
By signing up, submitting the onboarding application, or accessing FXMedSupport services, you acknowledge that you have read these Terms of Service, understand them, agree to be bound by them, affirm that you have both authority and financial capacity to enter into this agreement, and understand that the integration fee is fully non-refundable after 24 hours.
