Introduction
Welcome to FXMedSupport (“FXMedSupport,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of FXMedSupport’s software-as-a-service (SaaS) platform, integrations, automations, tools, applications, and related services (collectively, the “Service”). By creating an account, completing the sign-up or application form, accessing the Service, or using any FXMedSupport product, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you may not use the Service.
Description of the Service
FXMedSupport provides cloud-based software, workflow automation, integrations, technology infrastructure, and operational support services for healthcare practices. This includes SaaS platform access, automations, API integrations, cloud configuration, EHR connections (including Cerbo), ticketing systems, communication tools, and custom modules. FXMedSupport does not provide clinical care, medical advice, or healthcare services.
Eligibility and Authority
By signing up or using the Service, you affirm that you are at least 18 years old, have full legal authority to enter into this agreement on behalf of yourself or your organization, have the financial authority to approve charges, and that all information provided during enrollment is accurate and complete. You are responsible for ensuring that all users within your organization comply with these Terms.
Subscription Plans and Billing
FXMedSupport memberships operate on a subscription basis. Memberships may be monthly or prepaid (annual, 6-month, or 3-month). All memberships automatically renew every 30 days unless cancelled according to these Terms. The membership cycle begins on the date of enrollment. Some memberships may include complimentary cycles as part of program initiatives; these do not auto-renew unless explicitly stated. By enrolling, you authorize FXMedSupport to charge your payment method for recurring membership fees, integration fees, upgrades, and any additional services you authorize.
Pricing Changes
FXMedSupport reserves the right to change, modify, or update its pricing, fees, integration costs, and subscription rates at any time and at its sole discretion. Pricing changes may take effect immediately or at the start of the next billing cycle, depending on the nature of the change. Your continued use of the Service after any pricing update constitutes your agreement to the revised pricing.
Integration Fee (Non-Refundable After 24 Hours)
You acknowledge and agree that FXMedSupport begins technical and architectural work shortly after enrollment, including cloud configuration, integration setup, system architecture development, automation programming, and platform provisioning. Because these actions incur immediate labor and system costs, the integration fee becomes 100% non-refundable 24 hours after sign-up, regardless of onboarding status, usage, progress, or cancellation.
Cancellation Policy
Cancellations must be submitted in writing via an official support ticket. Messages submitted verbally, through direct messages, or via staff email do not qualify. A minimum 30-day cancellation notice is required. If a cancellation request is submitted fewer than 30 days before the next billing date, the upcoming cycle will still be charged and remain active until its expiration. FXMedSupport does not issue refunds or prorated credits for unused time or prepaid memberships. If FXMedSupport terminates a membership for reasons unrelated to misuse or violation of these Terms, a refund may be issued at our discretion.
Billing Discrepancies
Any billing concerns must be reported within 60 days of the charge appearing. After 60 days, all dispute rights regarding the charge are permanently waived.
License and Permitted Use
FXMedSupport grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not reverse-engineer, copy, replicate, resell, or distribute FXMedSupport systems; share or sell login credentials; provide unauthorized third-party access; tamper with or modify system architecture; or use the platform for unlawful or prohibited purposes. FXMedSupport may update, enhance, add, or remove platform features at any time.
Data, Privacy, and Third-Party Platforms
FXMedSupport uses commercially reasonable security measures consistent with healthcare technology standards. You are responsible for securing your passwords, devices, and internal systems. The Service integrates with third-party platforms such as Cerbo, Google services, cloud providers, communication tools, and payment processors. These providers may collect or process data under their own privacy policies. FXMedSupport is not liable for the actions or data handling practices of third-party systems. Unless explicitly contracted under a separate Business Associate Agreement (BAA), FXMedSupport does not store, process, or manage Protected Health Information (PHI).
Service Availability
While FXMedSupport strives for high uptime and service stability, outages may occur due to hosting providers, EHR platforms, internet disruptions, maintenance, or third-party service failures. FXMedSupport is not liable for downtime or performance issues caused by external systems.
Intellectual Property
All software, code, workflows, infrastructure, integrations, automations, modules, scripts, tools, documentation, templates, and branding remain the exclusive property of FXMedSupport. Your subscription grants a license to use the system—not to copy, duplicate, modify, or resell proprietary assets.
Disclaimers
FXMedSupport does not provide medical, clinical, diagnostic, or treatment services. The Service is strictly a software and technology platform. You and your organization are solely responsible for all patient care, clinical decisions, compliance, and regulatory obligations.
Limitation of Liability
To the maximum extent permitted by law, FXMedSupport is not liable for any indirect, incidental, punitive, or consequential damages, including loss of business, data, revenue, or profits. FXMedSupport’s total liability for any claim will not exceed the total amount paid by you during the preceding 12 months. FXMedSupport is not responsible for business outcomes, clinical outcomes, or decisions resulting from use of the Service.
Termination
FXMedSupport may suspend or terminate access to the Service if payments fail, these Terms are violated, system misuse occurs, unauthorized access is detected, or activities threaten the integrity or security of the platform. FXMedSupport may modify or update these Terms at any time, and continued use constitutes acceptance of all updates.
Governing Law
These Terms are governed by the laws of the jurisdiction in which FXMedSupport operates, without regard to conflict-of-law principles.
Acknowledgment
By creating an account, submitting the onboarding form, or using the Service, you acknowledge that you have read these Terms in full, understand them, agree to be bound by them, affirm that you have the legal and financial authority to enter into this agreement, and understand that the integration fee becomes fully non-refundable after 24 hours.
